1. Welcome to ViStyle!

These Terms and Conditions ("Terms") govern your access to and use of the ViStyle mobile application (the "App") and our website, www.vistyleapp.com (the "Site"), as well as the services we provide through these platforms (collectively, the "Services").

The Services are owned and operated by ViStyle S.R.L., a company registered in and functioning in accordance with the legislation of Romania, hereinafter referred to as ViStyle ("we," "us," or "our"), with registered offices in Timis, Timisoara, Str. Maresal Constantin Prezan 103. For any legal notices or service of process, please contact us at contact@vistyleapp.com.

By downloading the App, accessing the Site or using any of our Services, you confirm that you have read and agree to be bound by these Terms and Conditions and by our Privacy Policy.

The Terms and Conditions and Privacy Policy are legally binding documents that govern the relationship between you, as a user, and the provider ViStyle.

The Terms and Conditions and Privacy Policy may be updated from time to time. The updated documents will be applicable as soon as they are uploaded. Continuing to use or access the App, the Site or any of the Services implies your full agreement and acceptance of the updated policies.

2. What is ViStyle?

3. Who Can Use ViStyle

We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure and in accordance with the law. So, we need you to commit to a few restrictions in order to be part of the ViStyle community.

You must be at least 13 years old. Users between 13 and 16 years old cannot create a ViStyle Account unless they have the approval of a parent or legal guardian. The parent or legal guardian is responsible for monitoring the activity on the ViStyle platform. Should the ViStyle team identify accounts that do not meet the age or parental/legal guardian consent criteria, those accounts will be permanently deleted.

You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payments-related Services if you are on an applicable denied party listing.

We must not have previously disabled your account for violation of law or any of our policies.

You must not have been previously convicted for crimes which conflict with a lawful use of our platforms and Services.

4. Your ViStyle Account

Using the ViStyle App or accessing our Services will require you to create a ViStyle account.

For creating a ViStyle Account, you are required to provide accurate and complete information (such as name, e-mail address, date of birth etc.) in order to ensure the security of your account and the security of any transactions or information exchanges that you may engage in while using our Services.

We only use your personal data in order to provide you our Services and in full compliance with our Privacy Policy, to which you fully commit to while creating an account.

You are responsible for safeguarding your account and login data, as well as for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account.

We are not liable for any loss or damage arising from your failure to comply with the above.

You have control over your ViStyle account, meaning that you can set a private or a public account by using the "Privacy settings" option under your account settings menu.

A private account means that only follower accounts can see the posts you make from your account, while others can only see your profile picture and profile name.

A public profile will make your posts and profile data visible to all users.

Users also have the option to set individual posts as "private" or "public". A private post can only be seen by the user themselves. A "public" post can be seen by the user and, depending on the privacy setting of their account, by their followers or by the large public.

Please note that ViStyle is in no way responsible for the way other users may use the data that you share with them or for the data you make publicly or privately available through the ViStyle platform.

Once you decide to close your account, or ViStyle decides to terminate your account for any reason, the account will be permanently deactivated, and it cannot be reinstated. In such circumstances, ViStyle will not be responsible for the loss of the users' data.

5. Content on ViStyle

a. Your Content:

You are responsible for the content you post to the Services, including its legality, reliability, and appropriateness. This includes photos, videos, comments, and any other materials ("User Content"). You retain all of your rights to any User Content you submit, post, or display on or through the Services.

By submitting, posting, or displaying User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods (now known or later developed).

You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

b. ViStyle Content:

The Services contain content owned or licensed by us ("ViStyle Content"). ViStyle Content is protected by copyright, trademark, patent, trade secret, and other laws, and, as between you and us, we own and retain all rights in the ViStyle Content and the Services.

6. Community Guidelines and Prohibited Conduct

We want ViStyle to be a positive and inspiring community for fashion enthusiasts. You agree that you will not:

• Post nude, partially nude, or sexually suggestive photos.
• Post content that is violent, discriminatory, unlawful, infringing, hateful, pornographic, or sexually suggestive.
• Bully, harass, solicit, intimidate, or threaten any person.
• Use the Services for any illegal or unauthorized purpose.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Attempt to restrict another user from using or enjoying the Services.
• Encourage or facilitate any violations of these Terms.

We reserve the right, but are not obligated, to remove any User Content for any reason, including User Content that we believe violates these Terms or our Community Guidelines.

7. Intellectual Property

We respect the intellectual property rights of others and expect our users to do the same.

a. Copyright:

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the following information:

• A description of the copyrighted work that you claim has been infringed;
• A description of where the material that you claim is infringing is located on the Services;
• Your address, telephone number, and email address;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A legally binding statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf;
• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest, together with a valid power of attorney or proof of representation.

b. Trademarks:

The ViStyle name and logo are trademarks of ViStyle, and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

8. Shopping and Third-Party Links

The Services may contain links to third-party websites or services that are not owned or controlled by us. We may also allow you to "shop" for items shown in User Content through links to third-party retailers. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. By accessing any third-party content, you agree to the terms and conditions applicable in relation to that specific third party.

You further acknowledge and agree that ViStyle shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance on, any such content, goods, or services available on or through any such websites or services.

9. Services provided by users

The ViStyle platforms allow users to offer their styling services, fashion advice or other related services, for a price established through their own free will.

Users wishing to use the ViStyle platform for offering paid services are required to upgrade to a Reviewer Account and agree to the Terms and Conditions for Reviewer Accounts.

All users acknowledge the fact that ViStyle only acts as an intermediary (on-line selling platform) for the user-provided services and is in no way responsible for the provision of these user services nor does it verify or in any way guarantee any credentials, claims made by the Reviewers, quality or delivery of their services.

A user may register a request (order) for paid services from a Reviewer at any time. The delivery time and the price will be clearly visible in the platform. The Reviewer may accept or refuse the order. Any registered order will receive one of the following three statuses:

• pending if the order has been accepted but not yet delivered;
• completed if the services have been delivered in the agreed time;
• overdue if the services have not been delivered in the agreed time.

Once an order status becomes overdue, the client-user will benefit from a 7-days period in which they have the right to request a refund, even if the services have been provided within the 7-day period.

If the client-user does not request a refund within those 7 days, and the review has been completed in the meantime, the payment is considered finalized, and no refund will be issued.

If, however, the review has not been completed within 7 days from the due date, and the client has not requested a refund, then a refund is automatically initiated on the 8th day.

The ViStyle team will register and process the request for refund within 30 calendar days. The funds will be sent by ViStyle in the same bank account from which the payment was made.

Users understand that ViStyle will not and cannot check the quality of the services provided, and we can only reimburse users for undelivered services offered through the platform by the ViStyle Reviewer users.

For low quality services or other similar issues, the users are requested to register a detailed review for the Reviewer user, reflecting the quality of the services they received in the Reviewers' rating, thus helping the community.

Additionally, users may report unlawful acts and accounts to ViStyle, who will analyze any such reports and decide on suspending or even closing the reported account, should it be proven that an unlawful act has been committed.

10. Payments

All payments made by users through the ViStyle platform will be secure and intermediated by Stripe (Stripe Technology Europe, Limited), regulated by the Central Bank of Ireland and authorized by it as an electronic money institution under reference number C187865. By engaging in any transaction through the ViStyle platforms, users agree to the terms and conditions applicable under the Stripe Services Agreement.

For every payment, users will receive an automatic e-mail containing the receipt of payment/invoice, on the e-mail address associated with their account. It is the user's responsibility to ensure that the e-mail address provided is accurate and that they have access to that specific address.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any of ViStyle's policies. Upon termination, your right to use the Services will immediately cease.

12. Disclaimers and Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Services is at your sole risk. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services (including as a result of termination or closing of the ViStyle account); (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

13. Force Majeure and Fortuitous Events

ViStyle will not be liable for any losses, damages, or costs you suffer, or for any delays in performance or non-performance in relation to the ViStyle platforms or services, to the extent caused by a Force Majeure or Fortuitous Event.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Romania and the European Union.

15. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
